Terms of Service

Effective October 12, 2026 · Last updated October 12, 2026

Please read these Terms carefully. Section 17 contains a binding arbitration agreement and a class action waiver. Unless you opt out within 30 days as described there, you and ContextList agree to resolve disputes through individual arbitration rather than in court or in class actions.

These Terms of Service ("Terms") are an agreement between you and [COMPANY LEGAL NAME] ("ContextList," "we," "us," or "our"). They govern your use of the ContextList mobile app, the contextlist.ai website, ContextCard and claim-link pages, and related services (the "Services"). By creating a ContextCard, or by downloading, accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old to use the Services. If you are under 18, or under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian who agrees to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes it.

2. The Services

ContextList helps you organize your own contacts with context: tags, categories, industries, notes, calendar history, imported connections, and ContextCards that people publish about themselves. Most of your data is stored on your device, as described in the Privacy Policy. Some features use third-party providers, including SMS verification, reverse phone lookup and AI processing. We may add, change or remove features at any time.

3. Your account, ContextCard and verification

To publish a ContextCard you must sign in with Apple and verify a phone number you own or are authorized to use. You are responsible for activity under your account, and you must tell us promptly if you lose control of a linked phone number. A number that is already linked to another account cannot be used to take over that account's card. You agree that the information on your card is accurate, belongs to you, and does not impersonate anyone. Your published card is visible to ContextList users who already have your phone number or email saved. You can unpublish and delete your card at any time in the app.

Verification codes are sent by SMS through our provider. Message and data rates may apply. We send only one-time verification codes; we do not send marketing texts.

4. Your content and license to us

You keep ownership of the content you submit, such as your ContextCard and claim-link responses ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process and display Your Content only as needed to operate, secure and improve the Services and as described in the Privacy Policy. This license ends when you delete Your Content, except for copies we must keep by law or that remain in routine backups for a limited time.

5. Information about other people

ContextList works with information about people in your contacts. You are responsible for that information and for how you use it. You represent that:

Messages you send. Invites, Context Pings, introductions and other texts are sent from your own device through your own Messages app or other channels you choose. You are the sender of those messages and are solely responsible for them, including having any consent required by law.

Not a consumer reporting agency. ContextList is not a consumer reporting agency, and information from the Services is not a "consumer report" under the Fair Credit Reporting Act. You may not use any information from the Services, including lookup results, to decide anyone's eligibility for credit, insurance, employment, housing, government benefits or any other purpose covered by the FCRA or similar laws.

6. Acceptable use

You agree not to:

We may investigate violations and remove content or suspend access when we reasonably believe these Terms have been violated.

7. AI features

Some features generate suggestions using artificial intelligence, including answers, summaries, tags, categories and draft messages. This happens either on your device (Apple Intelligence) or through our AI provider. AI output can be inaccurate, incomplete or out of date, and may describe people incorrectly. Review AI output before relying on it or sending it to anyone. You are responsible for what you do with it. AI output is not professional advice.

8. Lookup and enrichment results

Reverse lookup and enrichment results come from third-party data sources and may be wrong, outdated or about a different person. We do not guarantee their accuracy. Results are suggestions for you to review, and changes are saved to your contacts only when you confirm them.

9. Third-party services

The Services interoperate with services we do not control, including Apple (Contacts, Calendar, Messages, Apple Intelligence), Twilio, People Data Labs, Anthropic, LinkedIn and Instagram. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. Data you import from LinkedIn or Instagram exports remains subject to their terms.

10. Fees

The Services are currently free. If we introduce paid features or subscriptions, we will show the price and terms before you buy. In-app purchases through the App Store are billed by Apple under Apple's terms, and refunds are handled by Apple.

11. Our intellectual property

The Services, including the software, design, text, graphics, logos and the ContextList name, are owned by us or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the app on Apple-branded devices you own or control, as permitted by the App Store's Usage Rules. If you send us feedback, we may use it without obligation to you.

12. Copyright complaints (DMCA)

We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512. If you believe content on the Services infringes your copyright, send our designated agent a written notice that includes:

  1. your physical or electronic signature;
  2. identification of the copyrighted work claimed to be infringed;
  3. identification of the infringing material and enough information for us to locate it;
  4. your contact information, including address, telephone number and email;
  5. a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and
  6. a statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act on the owner's behalf.

Designated agent: [DMCA AGENT NAME], [COMPANY LEGAL NAME], [MAILING ADDRESS], dmca@contextlist.ai.

If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notice with the information required by 17 U.S.C. § 512(g)(3). We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

13. Termination

You may stop using the Services at any time. You can delete your ContextCard and server data in the app, and delete the app to remove data stored on your device. We may suspend or terminate your access, or remove Your Content, if you violate these Terms, if required by law, or if we discontinue the Services. Sections that by their nature should survive termination will survive, including Sections 4, 5, 7, 8 and 11 through 19.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DATA WILL NOT BE LOST, OR THAT ANY INFORMATION, INCLUDING CONTEXTCARDS, LOOKUP RESULTS AND AI OUTPUT, IS ACCURATE, COMPLETE OR ABOUT THE PERSON YOU INTEND. YOU ARE RESPONSIBLE FOR BACKING UP YOUR DATA. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CONTEXTLIST AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR RELATIONSHIPS, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES DAMAGES ARISING FROM MESSAGES YOU SEND, YOUR RELIANCE ON AI OUTPUT OR LOOKUP RESULTS, CONTENT PUBLISHED BY OTHER USERS, OR THIRD-PARTY SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE. THESE LIMITS APPLY TO ANY THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

16. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless ContextList and its affiliates, officers, employees and agents from any claims, damages, losses, liabilities, costs and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, Your Content, messages you send, your use of information about other people, or your violation of these Terms or of any law or third-party right.

17. Dispute resolution and arbitration

Informal resolution first

Before starting arbitration or a court case, you and we agree to try to resolve any dispute informally for at least 60 days. To start, send a written notice describing the dispute and the relief you want to legal@contextlist.ai, or we will send one to the contact information we have for you.

Agreement to arbitrate

Except as stated below, any dispute, claim or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, before a single arbitrator. The Federal Arbitration Act governs this Section. The arbitrator decides all issues, except that a court decides questions about the scope, enforceability and validity of the class action waiver and of this Section's application to mass filings. Arbitration may take place by video or on written submissions, or in person in the county where you live or in Los Angeles County, California. Payment of filing, administration and arbitrator fees is governed by the AAA rules, and we will pay any amount those rules require us to pay for consumer arbitrations.

Exceptions

Either party may bring an individual claim in small claims court if it qualifies. Either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property. Nothing here prevents you from bringing an issue to the attention of a government agency.

Class action and jury trial waiver

YOU AND CONTEXTLIST MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND CONTEXTLIST EACH WAIVE THE RIGHT TO A JURY TRIAL.

The arbitrator may award relief only to the individual party seeking it, and only to the extent needed to provide that party's individual relief. If a court finds this waiver unenforceable for a particular claim or request for relief, such as a request for public injunctive relief, that claim or relief will be severed and decided in court after the arbitrable claims are resolved, and the rest of this Section remains in effect.

Mass filings

If 25 or more similar demands for arbitration are filed by or with the help of the same or coordinated counsel, the AAA's Mass Arbitration Supplementary Rules will apply, and the parties agree the demands may be resolved in staged batches to promote efficient resolution.

30-day right to opt out

You may opt out of this agreement to arbitrate by emailing legal@contextlist.ai within 30 days after you first accept these Terms. Include your name and the phone number or email you use with ContextList, and state that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Changes to this Section

If we change this Section, the change will not apply to any Dispute of which we had written notice before the change takes effect.

18. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules, and by the Federal Arbitration Act for Section 17. For any Dispute not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. If you are a consumer living outside the United States, you also keep any mandatory consumer protections and rights to sue in your local courts that your local law provides.

19. Apple App Store terms

If you downloaded the app from Apple's App Store, the following also applies:

20. Changes to these Terms

We may update these Terms. If a change is material, we will notify you in the app or by other reasonable means at least 30 days before it takes effect, unless the change is required by law or addresses a security issue. By continuing to use the Services after the effective date, you accept the updated Terms.

21. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Under California Civil Code § 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
